Business Subscription Terms
Last updated: 2026-10-29
These Business Subscription Terms govern an organization's purchase and use of Sentus. They apply with the applicable order form and the policies linked from our Legal Center. The organization accepting them is the "Customer." The individual accepting them represents that they have authority to bind the Customer.
1. Contract structure and priority
An executed order form controls pricing, subscription scope, and any negotiated terms. If documents conflict, the order of priority is: order form; signed addendum, including any executed Data Processing Addendum; these Business Subscription Terms; then incorporated online policies. A later online update does not override a negotiated term unless the Customer expressly agrees.
2. Platform access and authorized users
Subject to payment and these terms, Sentus grants Customer a limited, nonexclusive, nontransferable right during the subscription term for authorized users to access the contracted services for Customer's internal property operations. Customer is responsible for user access, role assignments, credentials, configurations, and activity under its account.
3. Customer responsibilities
- Provide accurate account, property, resident, vendor, and workflow information.
- Obtain legally required consent for calls, recordings, texts, email, electronic records, and data processing.
- Comply with housing, consumer-reporting, accessibility, privacy, employment, payment, and property-management laws.
- Review AI-assisted content. Customers—not Sentus—make decisions that affect housing, safety, finances, legal rights, or employment.
- Keep independent emergency, escalation, review, and continuity procedures.
- Use the services only as allowed by the Acceptable Use Policy.
4. Fees, taxes, and renewal
Customer will pay the fees, taxes, and other charges stated in the order form. Unless an order form states otherwise, fees are due in advance, are nonrefundable except as required by law or expressly stated in these terms, and may not be offset. Renewal, price changes, usage charges, and cancellation notice are governed by the order form and applicable law. Payment processing is also subject to thePayment Terms.
5. Customer Data and privacy
Customer retains its rights in data submitted to the services. Customer grants Sentus a limited license to host, copy, transmit, secure, analyze, and otherwise process that data only to provide, support, protect, and improve the contracted services as described in the Privacy Policy and any Data Processing Addendum executed by the parties. Customer is responsible for the lawfulness, accuracy, and instructions associated with Customer Data. Sentus does not acquire ownership of Customer Data.
6. Sentus intellectual property
Sentus and its licensors retain all rights in the platform, software, interfaces, workflows, documentation, models, configurations, designs, trademarks, and improvements. No source-code, patent, trademark, or other ownership right is transferred. Customer may provide feedback; Sentus may use feedback without restriction or identifying Customer as its source.
7. Confidentiality
Each party will protect the other's nonpublic business, technical, security, and commercial information with at least reasonable care; use it only to perform or exercise rights under the agreement; and disclose it only to personnel and advisers who need it and are bound to protect it. Confidential Information excludes information independently developed, lawfully received without restriction, already known without duty, or made public without breach. A compelled recipient will, when legally permitted, give prompt notice and reasonable assistance. These duties survive for five years; trade secrets remain protected while they qualify as trade secrets.
8. AI, communications, and third-party services
The How We Use AIdisclosure explains how Sentus uses AI in voice, text, chat, transcription, summaries, classification, drafting, and workflow assistance. Customer remains responsible for human review, permissions, and consequential decisions. Sentus may connect with third-party services selected or enabled by Customer. Sentus does not control third-party networks or services and is not responsible for their independent acts, outages, terms, or charges.
9. Security
Sentus will maintain reasonable administrative, technical, and organizational safeguards appropriate to the services. Customer must promptly report suspected unauthorized access and cooperate with reasonable protective steps. No security program eliminates all risk, and Customer remains responsible for its devices, accounts, integrations, exports, and local copies.
10. Suspension and cure
Sentus may immediately suspend affected access when reasonably necessary to address a credible security threat, unlawful activity, sanctions risk, imminent harm, platform-integrity risk, or an emergency involving other users. For nonpayment or another remediable breach, Sentus will ordinarily provide notice and a reasonable opportunity to cure before suspension. Sentus will limit a suspension to the affected scope where practical and restore access promptly after cure.
11. Term and termination
The subscription continues for the order-form term. Either party may terminate for material breach not cured within thirty (30) days after written notice, or sooner if the breach cannot reasonably be cured. Either party may terminate for insolvency as permitted by law. On termination, access ends and unpaid charges become due. Customer should export data before termination; any post-termination retrieval period is the period stated in the order form or product notice and remains subject to law, security, and retention requirements.
12. Limited warranties
Each party warrants that it has authority to enter the agreement. Sentus warrants that paid services will be performed professionally and will substantially conform to applicable documentation under normal use. Customer's exclusive remedy for a verified breach is re-performance or, if Sentus cannot cure it, termination of the affected service and a prorated refund of prepaid unused fees for that service.
13. Warranty disclaimer; no SLA
Except for the express warranties above, the services are provided "as is" and "as available." Sentus disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent permitted by law. Sentus does not warrant uninterrupted or error-free operation, delivery by a carrier or network, or the accuracy of AI output, transcription, translation, classification, or third-party data. No availability target, response time, service level, or credit applies unless stated in a separately executed addendum.
14. Indemnification
Sentus will defend Customer against a third-party claim that the unmodified paid service infringes a United States patent, copyright, or trademark, and will pay finally awarded damages or an approved settlement. Sentus may obtain continued use, modify or replace the affected service, or terminate it and refund prepaid unused fees. This obligation does not cover Customer Data, combinations not supplied by Sentus, Customer instructions, modifications, or continued use after notice.
Customer will defend Sentus against third-party claims arising from Customer Data, Customer's property operations or decisions, missing communications or recording consent, unlawful instructions, configurations or combinations not supplied by Sentus, or Customer's material breach of law or the Acceptable Use Policy. Indemnification requires prompt notice, reasonable cooperation, control of the defense by the indemnifying party, and no settlement admitting fault or imposing nonmonetary duties on the other party without consent.
15. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or business interruption, even if advised of the possibility. Except for payment obligations and liabilities that cannot lawfully be limited, each party's aggregate liability arising from the agreement will not exceed the fees paid or payable for the affected services during the twelve (12) months before the event giving rise to the claim. An executed order form may state a different cap or carve-out.
16. Dispute resolution
Before filing a claim, a party must give written notice and allow thirty (30) days for good-faith negotiation. If unresolved, the parties will attempt nonbinding mediation with a mutually selected mediator, remotely by agreement or in Contra Costa County, California. If they do not select a mediator within fifteen (15) days after a mediation request, or if mediation does not resolve the dispute within thirty (30) days after that request, either party may begin binding individual arbitration under the Federal Arbitration Act and the selected administrator's commercial rules. One neutral arbitrator will issue a reasoned award.
Either party may bring an eligible individual claim in small-claims court or seek temporary judicial relief for unauthorized access, security, confidentiality, or intellectual-property harm. Courts may enforce or review an award as allowed by law. Claims must be brought individually, not as a class or representative action, and each party waives a jury trial to the extent permitted by law.
17. Governing law and venue
California law governs, without regard to conflict-of-law rules, while federal law governs the arbitration agreement. Subject to arbitration and mandatory law, permitted court proceedings must be brought in the state courts located in Contra Costa County, California, or the applicable federal court serving that county.
18. General terms
Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations already due; the affected party must mitigate and notify the other when practical. Neither party may assign the agreement without consent, except in a merger, reorganization, or sale of substantially all relevant assets. The parties are independent contractors. There are no third-party beneficiaries. Failure to enforce a term is not a waiver. If a provision is unenforceable, it will be narrowed and the remainder will continue in effect. Accrued payment obligations, ownership, confidentiality, warranty disclaimers, indemnification, liability limits, dispute resolution, governing law, and other rights or duties intended to continue will survive termination.
19. Notices and changes
Legal notices to Sentus must be sent to legal@sentus.ai. Customer notices go to the account contact. Sentus may update online policies prospectively with notice of material changes. Changes do not retroactively alter a dispute already formally noticed.
